2.1 Limited license

Subject to your compliance with these Terms, Roxom TV grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform (including the roxom.tv website, streams, and on-screen chyrons) for non-commercial purposes. This license conveys no ownership in any content and no additional exploitation rights.

2.2 Prohibited conduct

You may not, without Roxom TV's prior written authorization:

• access the Platform through automated means (bots, spiders, etc.) or engage in scraping/data mining;
• circumvent technical protections, DRM, paywalls, geo-blocking, or access limits;
• interfere with Platform operation (e.g., attacks, code injection, overload/flooding) or attempt to access non-public areas/systems;
• decompile, reverse engineer, or attempt to derive the source code of the Platform's software;
• use the Platform for unlawful purposes, in breach of these Terms, or to develop/operate a competing service;
• frame, mirror, or embed the Platform in a manner that misleads as to the source of the content.

2.3 Availability and changes

Roxom TV may modify, suspend, or discontinue any feature, content, or functionality of the Platform at any time without notice. We do not guarantee uninterrupted or error-free availability and may impose usage limits or block access that violates these Terms.

2.4 Third-party content

The Platform may include third-party materials or integrations (e.g., guests, analysts, external sources, embedded feeds, sponsorships). Such use is governed by these Terms and any additional rules described in the "Third-Party Content and Sponsorships" section (below).

2.5 Reservation of rights

Roxom TV and its licensors reserve all rights not expressly granted in this clause.

2.6 No Competitive Use

You may not use the Platform or the Content —in whole or in part— to create, train, improve, operate, offer, or provide (directly or indirectly) any services, products, feeds, databases, indices, APIs, models, or content that compete with or substitute Roxom TV's business, products, or services. Systematic redistribution (including clips, chyrons/lower-thirds, transcripts, or metadata), commercial packaging or resale of content to third parties, or any unauthorized commercial/editorial exploitation is prohibited. This restriction is in addition to, and does not limit, the prohibitions in Section 3 (Intellectual Property).

3.1 Ownership

The Platform and all Content—including, without limitation: streams, videos, chyrons/lower-thirds (banners, tickers/crawlers, logo bugs), graphics, text, scripts, audio, music, animations, photographs, metadata, compilations/databases, software, code (source/object), APIs, interface design, look & feel, and the selection and arrangement thereof— as well as all Marks (Roxom TV, logos, program titles, slogans, domain names, and other identifiers) are the exclusive property of Roxom TV or its licensors and are protected by copyright, trademark, unfair-competition, database, and other applicable laws and treaties worldwide.

3.2 No assignment; no implied license

Other than the limited license set out in Section 2.1, no rights, title, or interest in the Platform, the Content, or the Marks are assigned or licensed to you—by implication, exhaustion, estoppel, usage, or otherwise. All rights not expressly granted are reserved.

3.3 Specific Content restrictions

Without Roxom TV's prior written consent, you must not:

• reproduce, record, retransmit, synchronize, adapt, modify, translate, publish, distribute, make available, perform, display, or create derivative works from the Content (including chyrons/lower-thirds);
• remove, obscure, or alter rights notices, watermarks, or identifiers;
• use the Content (or substantial portions thereof) to train, improve, operate, or evaluate AI/ML systems (including LLMs), or to generate, populate, or validate datasets.

3.4 Use of Marks

You may not use Roxom TV Marks (or suggest sponsorship, affiliation, or endorsement) without prior written consent. The use of metatags, occult tagging, or similar techniques that cause confusion or trade off the goodwill of the Marks is prohibited. You also may not register, reserve, or use designations identical or confusingly similar to the Marks as domain names, social-media handles, search keywords, app names, or tags.

3.5 Monitoring and enforcement

Roxom TV may monitor, block, or limit access and demand removal of materials that violate this clause. We reserve the right to terminate access, remove content, and enforce our rights by any lawful means.

3.6 Remedies

Any breach entitles Roxom TV to seek injunctive relief (without bond where permitted by law), in addition to damages, lost profits, costs, and attorneys' fees. Remedies are cumulative and not exclusive of any other rights or actions.

4.1 Third-party content and opinions

The Platform may include content, statements, or opinions from third parties (e.g., guests, analysts, external sources, embedded integrations, sponsored materials, or links to third-party sites). Such content belongs to its authors and does not necessarily reflect Roxom TV's views. We do not warrant its accuracy, completeness, or timeliness, and we do not adopt it as our own. We may remove, block, or edit any third-party material at our sole discretion.

4.2 Sponsorship identification

Sponsored content will be clearly labeled in accordance with applicable requirements (e.g., tags such as "Sponsored", "#Ad", or on-screen disclosures like "This segment is brought to you by…"). Sponsorship does not grant editorial control to the sponsor, nor does it guarantee airing, placement, duration, or continued availability of any segment or mention.

4.3 Editorial independence and final control

Roxom TV retains full editorial control over topic selection, scripts, guests, editing, scheduling, and format, including chyrons/lower-thirds and other on-screen elements. No sponsorship, contribution, or commercial relationship permits influence over editorial decisions or the suppression of material information.

4.4 Right of rejection or removal

We may reject, cancel, or remove any third-party content, mention, or integration—including sponsored materials—that in our judgment violates the law, these Terms, our editorial policies, or applicable standards. We may exercise this right at any time, including after initial approval, without liability for indirect damages, lost profits, or costs incurred by the third party.

4.5 Disclosure of ties and interests

Third parties appearing on the Platform (e.g., guests, analysts, contributors) must disclose any material connection or conflict of interest related to the topics they discuss (for example, holdings, sponsorships, or relevant business/personal relationships). Roxom TV may require clarifications, on-screen labels, or warnings to ensure audience transparency.

4.6 External links and destinations

Links to third-party sites are provided for convenience. Roxom TV does not control or endorse such sites and is not responsible for their content or policies. Accessing third-party destinations is at the user's own risk.

5.1 "As is" and "as available"

The Platform and its Content (including the roxom.tv website, streams, and chyrons/lower-thirds) are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including, without limitation, warranties of accuracy, timeliness, non-infringement, merchantability, or fitness for a particular purpose. Roxom TV assumes no obligation to update any content.

5.2 No liability for investment or trading decisions

Consistent with the "No Investment Advice" notice, Roxom TV shall not be liable for any losses, damages, or costs—including losses arising from investment or trading decisions—resulting from any use of or reliance on news, opinions, graphics, prices, analyses, interviews, or any other content disseminated on the Platform.

5.3 Third-party content and services

Roxom TV does not control or warrant third-party content, sites, services, or platforms (including distributors/partners or networks such as YouTube, X, or others). We assume no responsibility for their availability, policies, security, or accuracy, nor for damages arising from their use.

5.4 Outages, errors, and force majeure

Roxom TV shall not be liable for interruptions, delays, errors, failures, attacks, malware/virus incidents, vulnerabilities, maintenance, technical changes, force-majeure events, or other circumstances beyond its reasonable control. We may modify, suspend, or discontinue features or content at any time.

5.5 Exclusions and cap

To the maximum extent permitted by law, Roxom TV shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, lost profits, loss of data, goodwill, business interruption, or performance failures.

5.6 Legal safeguards

Nothing in these Terms is intended to exclude or limit liability to the extent such exclusion or limitation is prohibited by applicable law (e.g., willful misconduct). In jurisdictions that do not allow certain warranty/ damages limitations, such exclusions/limitations shall apply only to the extent permitted.

6.1 Updates

We may update or modify these Terms at any time. Unless stated otherwise, modifications take effect upon posting on the Platform and will be reflected in the "Last updated" legend.

6.2 Material changes

Where a change is material, we may require your affirmative acceptance (e.g., an "I agree" checkbox) before continued use. If you do not agree with the then-current version, you must not use the Platform.

6.3 Notice

We may communicate changes via notices on the Platform (banner, modal) and, where appropriate, via email or other available channels. You are responsible for reviewing the Terms periodically.

6.4 Scope

Modifications may include, without limitation, adjustments to features, usage rules, restrictions, nomenclature, references to supplemental documents, or contact details.

7.1 Grounds

We may suspend or terminate your access to the Platform, in whole or in part, at any time and without prior notice, at our sole discretion, including (without limitation) for:

• breach of these Terms;
• unlawful use or attempts to circumvent technical measures;
• interference with the Platform's security, integrity, or operation;
• infringement of intellectual property or third-party rights;
• fraud, unauthorized automation (bots, scraping), or abuse;
• requests from authorities or court orders;
• operational, reputational, or legal risks that, in our judgment, warrant action.

7.2 Measures

We may (i) block accounts or access (including IPs, devices, or credentials), (ii) remove third-party content or integrations, and (iii) limit features, without any duty to compensate.

7.3 No liability

To the maximum extent permitted by law, Roxom TV shall not be liable for damages, lost profits, or costs arising from any suspension or termination of access.

7.4 Retention and deletion

We have no obligation to maintain, store, or return content or data associated with your use of the Platform after termination, unless required by law.

7.5 Survival

Sections that by their nature should survive termination (including, without limitation, Intellectual Property, Third-Party Content & Sponsorships, Limitation of Liability, Governing Law & Dispute Resolution, and Indemnity) shall remain in effect.

7.6 Without prejudice

Exercising these rights is without prejudice to any other actions, injunctive measures, or remedies available.

8.1 Governing law

These Terms are governed by the laws of the Cayman Islands, excluding any conflict-of-laws rules that would refer to another jurisdiction.

8.2 Jurisdiction and venue

Any claim, dispute, or controversy arising out of or relating to the Platform or these Terms shall be submitted to the exclusive jurisdiction of the courts of the Cayman Islands, and the parties consent to venue before the Grand Court of the Cayman Islands in Grand Cayman. You waive any objection based on forum non conveniens, lack of jurisdiction, or similar grounds.

8.3 Injunctive relief

Notwithstanding the foregoing, Roxom TV may seek injunctive or equitable relief to protect its intellectual property or other rights before any court of competent jurisdiction, in addition to remedies available in Cayman.

8.4 Time to bring claims

To the maximum extent permitted by law, any claim against Roxom TV arising out of or relating to the Platform or these Terms must be filed within twelve (12) months after the cause of action accrues, or be forever barred.

8.5 Consumers and mandatory law

Nothing herein limits non-waivable statutory rights that cannot be excluded by contract under the law applicable to users qualifying as consumers.

9.1 Entire Agreement

These Terms are the entire agreement between you and Roxom TV regarding the Platform and supersede all prior understandings on the subject.

9.2 Severability

If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permitted; the remainder shall remain in full force and effect.

9.3 No Waiver

Any failure or delay by Roxom TV to enforce a provision does not waive its right to enforce it later.

9.4 Assignment

You may not assign or transfer these Terms or any rights/obligations without Roxom TV's prior written consent. Roxom TV may assign to affiliates or in connection with corporate reorganizations.

9.5 Relationship of the Parties

Nothing herein creates a partnership, joint venture, agency, or employment relationship. The parties are independent contractors.

9.6 Force Majeure

Roxom TV is not liable for failures or delays caused by events beyond its reasonable control (including, without limitation, outages, network failures, attacks, natural disasters, government acts, conflict, strikes).

9.7 Headings; "including."

Headings are for convenience only and do not affect interpretation. "Including" means without limitation.

9.8 Electronic Communications

You agree to receive electronic communications related to the Platform and these Terms (notices, updates) via the Platform and/or the email address you provide.

9.9 No Third-Party Beneficiaries

These Terms do not confer rights on any third party.

9.10 Survival

Provisions that by their nature should survive (including, without limitation, Intellectual Property, Third-Party Content & Sponsorships, Limitation of Liability, Governing Law & Dispute Resolution, and Indemnity) remain in effect after termination.

9.11 Feedback

If you submit to Roxom TV any ideas, suggestions, proposals, comments, or materials ("Feedback"), you understand and agree that such Feedback is non-confidential and non-proprietary. You grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, copy, modify, create derivative works of, publish, perform, display, and exploit the Feedback for any purpose, with no attribution or compensation obligation. To the maximum extent permitted by law, you waive any moral rights in the Feedback.

10.2 Content reports

If you believe content on the Platform is unlawful, misleading, infringes rights (e.g., IP), or violates these Terms, submit a report including:

• precise URL(s) and, where possible, screenshots or timestamps;
• a description of the content and the basis for your claim;
• details of the rights holder (if reporting on their behalf, attach authorization);
• your contact details (name, email, country);
• your good-faith statement confirming the information is accurate and that you have a reasonable basis for the report.

10.3 Internal process

Roxom TV may request additional information, block, remove, or retain the questioned content while it reviews the report, at its sole discretion and without any obligation to disclose the outcome to the reporter. Submitting a report does not guarantee specific action and does not create an advisor–client relationship.
